Part K is an arbitration agreement: a dispute with Celeem goes to individual arbitration, not to a court (except small claims court, clause 56), with no class action and no jury, unless you opt out within [OPT-OUT DAYS, usually 30 days] (clause 60).
Celeem is a free USA app for listing cars, motorcycles and parts for sale and for purchase requests, run by Dealer Canvas LLC, 2108 N St Ste N, Sacramento, CA 95816, USA. Celeem takes no payment, holds no money, offers no escrow and takes no part in any sale. The buyer and the seller deal with each other alone, outside the app. Celeem is not a dealer, broker or agent of anyone. By using Celeem or creating an account you accept these Terms and the Privacy Policy (https://celeem.com/privacy), which is part of them. At sign-up you agree to both, each linked, with a clear tap. If you do not accept them, do not use Celeem.
Celeem offers no purchase protection and gives no refund for any deal; your rights against the seller stay yours. Celeem never holds a title, inspects, possesses, ships, prices or finances a vehicle, and is no expert in car values, vehicle law, tax or insurance. An inspection is not a warranty from Celeem.
People who live in the USA; use from abroad is at your own risk. Not allowed: anyone on a US sanctions list, a registered sex offender, or anyone Celeem banned before.
Tax, registration, title transfer and DMV papers are the buyer's and the seller's own. A price on a post does not include tax, title, registration or other government fees.
Only to talk about that post or purchase request: no harassment, pressure, promotions, or offering your services to any user. No autodialed, prerecorded or AI-voice calls or texts to a number taken from Celeem. Never sell, share or collect other users' numbers.
No bots, scrapers, AI agents or data mining; no collecting or reselling users' data, even by hand; no copying or mirroring the app or its posts; no reverse engineering, hacking, malware, overloading or getting around Celeem's protections; no phishing, and no asking another user for a password or sign-in code; no outside apps acting on Celeem; no entering another account.
Only the titled owner, or a dealer selling it, may post it. You have it with you, can deliver a clear title at the sale, and sell at your post's price and terms. Any lien on it is stated in the post.
Its year, make, model and VIN (when given) are not changed after posting, and a post is never edited into another item. A wrong VIN is corrected only through developer@dealercanvas.com, never changed to another vehicle's. Photos show the actual vehicle: no stock, catalog or screen photos, no edits that hide its state.
A VIN is optional, for a car or motorcycle post. When you give one, it must be the vehicle's own 17-character VIN, exactly as on the vehicle and its title. It is shown on the post's page.
A salvage, flood, rebuilt or other branded history is stated, even when the title is clean today. The true mileage, every known defect and any lien are stated. A wrecked or parts-only vehicle is posted as such.
The full sale price: no token "$1" prices, no hidden fees, no monthly or finance price, and no price that needs financing, a trade-in or a down payment. No keyword stuffing, no wrong category, the vehicle's real city. No reposting to move it up, no flooding results with many posts, no price manipulation, and no interfering with another user's post.
Remove the post or mark it sold at once when it is sold or no longer for sale.
You follow your state's law, the buyer's state's law and, for a dealer, the FTC Used Car Rule and its state's advertising law (clause 28). An imported vehicle has its DOT and EPA papers, and CARB's where California requires them. A private post carries no agent, broker or dealer contact. Never charge a buyer for information.
Celeem may move a post to the right category, hide it or show it lower, and sets the order of posts and results. Celeem's review, by a person or automatic, checks nothing about the vehicle, its title or the seller. Before closing an account we may first remove a post or warn you.
Airbags, airbag modules or airbag covers sold alone; catalytic converters sold alone; emissions-defeat devices and exhaust bypass parts; VECI labels; titles sold with parts; VIN plates or rivets; keys sold apart from their vehicle; fake or replica parts; [RECALL RULE, proposed: recalled parts are banned, and a vehicle's known open recall is stated in its post (lawyer, Q8)]; [NO-TITLE RULE, proposed: a road vehicle without a title, unless posted parts-only or exempt from titling in its state (lawyer, Q8)]; current or temporary plates; rideshare signs; radar, GPS or signal jammers; fuel, refrigerants and hazardous chemicals; leased vehicles and lease takeovers; vehicle history reports for sale.
Government vehicles; military items not demilitarized; police insignia; ID cards and government documents; property with its serial number removed or altered; burglary tools; weapons, ammunition, explosives, fireworks; drugs, prescription items, alcohol, tobacco, paraphernalia; animals; gambling, lotteries, MLM and pyramid schemes; government benefits.
Defamation; obscene content or content harmful to minors; discrimination by age, race, national origin, religion, gender, sexual orientation, disability or any ground the law protects; political, religious or off-topic posts; misleading links; asking for ratings; pranks and profanity; asking for money or gifts without a sale; gift cards or crypto as payment.
Knowingly sending a false notice or counter-notice can make you liable for the damage.
A business that sells vehicles posts only as a dealership. Its posts and prices follow advertising and consumer law and their disclosures, and each post gives every detail its state's dealer advertising law requires [STATE LIST: which states and which details (lawyer, Q4)]; Celeem asks for none of them. The dealer alone answers for its posts and indemnifies Celeem (clause 53). Whoever opens its account promises he may bind the business.
A seller who avoids meeting or calls; a price near half the market; a rush; a seller abroad, or an "agent" or "attorney"; stock or screen photos.
A mechanic's inspection and a test drive; the seller's name matches the title and the seller's ID; the title signed with date, price and odometer; a bill of sale; the seller's release of liability with the DMV and the plates handled as your state's DMV says. Keep the title until the payment clears; never ship before payment.
Celeem has no "pre-approved" or "verified" buyers or sellers. Anyone who says so is a scammer.
We review reports and may remove a post, limit an account or close it, with or without notice.
Celeem may close an account at any time, for any reason, as the law allows, including one never confirmed or long unused.
Think a removal or closure was a mistake? Write to developer@dealercanvas.com within [APPEAL DAYS, usually 30 days]; a person reads and answers your appeal. An appeal looks only at whether the post or account broke these Terms.
You can delete your account at any time in Settings, Delete account, or at https://celeem.com/delete-account without the app. Your nickname, email, posts and photos are erased; copies in backups are gone within [BACKUP DAYS] days; reports and the record of a closed account are kept as the Privacy Policy says (its section 6).
We may share information with police, courts and government when the law or a valid order requires it, or to protect someone's safety, and we cooperate with them.
We may change, pause or end any part of the app.
We may change these Terms. We tell you in the app and by email [CHANGE NOTICE DAYS, usually 30 days] before a change takes effect; using Celeem after that means you accept the new Terms. A change never applies to a dispute already open. [PART K CHANGES, proposed: you may reject a change to Part K by writing to [OPT-OUT EMAIL OR ADDRESS] within 30 days; a change never applies to a claim that arose before it (lawyer, Q3)]
Celeem's name, logo, app and content, except users' content, belong to Dealer Canvas LLC. Dealer Canvas LLC gives you a personal, free, non-transferable license, which it may end, to use the app on your own devices and to share posts by the app's share links, under these Terms. No other copying, framing, selling or using the marks without written permission.
Ideas or feedback you send are free for us to use, with no pay or credit.
WhatsApp, your phone's calls and maps, VIN-history sites and links in posts run under their own terms, not Celeem's responsibility.
Celeem is provided "as is". We do not promise that any post, user, vehicle, title, price or seller type is true, legal, safe or available, or that a post gets a buyer or a purchase request a seller. We do not promise the app is always on or free of errors.
Posts, purchase requests and pictures are made by users, not by Celeem. As far as the law allows, Celeem is not the publisher or speaker of them (47 U.S.C. 230). Reviewing, refusing or removing content in good faith does not make Celeem responsible for it.
Celeem checks no one's background. You alone take care with strangers; Celeem is not responsible for what happens offline.
In a dispute with another user, you release Celeem and Dealer Canvas LLC from every claim about it, known and unknown, and California residents waive California Civil Code section 1542.
To the fullest extent the law allows, Celeem and Dealer Canvas LLC are not liable for any loss coming from a deal between users, from what users post, or from using the app, including lost money, a vehicle that is not as described, or indirect or special damages. Where liability cannot be excluded, it is limited to [AMOUNT, usually $100]. Gross negligence and fraud are not limited. Where a state does not allow these limits, they apply only as far as it allows.
If a claim is made against Celeem because of your post, deal or breach of these Terms, you defend Celeem and cover its costs, attorneys' fees included, as far as the law allows. Tell us within [CLAIM REPORT DAYS, usually 7 days].
Before any claim, write to developer@dealercanvas.com with your name, your email, the problem and your ask; we both try to settle it for [SETTLE PERIOD, usually 30 to 60 days] first.
Any dispute between you and Celeem goes to binding individual arbitration with [ARBITRATION PROVIDER, usually AAA or JAMS] under its consumer rules, before one arbitrator. The hearing is held near where you live, or by phone or video.
Either side may use small claims court instead, or a court to stop misuse of its name, marks or copyright. [CARVE-OUTS, proposed: a claim for public injunctive relief, and a sexual assault or sexual harassment dispute you choose to bring in court (9 U.S.C. 402), go to court (lawyer, Q3)]
[FEES RULE, usually: you pay the filing fee up to a court's fee; Celeem pays the rest]. Each side pays its own lawyer, unless the law or the arbitrator says otherwise.
You and Celeem each give up a jury trial and any class or group claim. [IF THE WAIVER FALLS, proposed: if this waiver is found unenforceable for a claim, that claim goes to court and is not arbitrated (lawyer, Q3)]
[MASS CLAIM NUMBER, usually 25] or more similar claims are arbitrated in batches [BATCH PROCESS: the provider's mass-arbitration rules (lawyer, Q3)]; each claim's time limit pauses while it waits.
Write to [OPT-OUT EMAIL OR ADDRESS] within [OPT-OUT DAYS, usually 30 days] of creating your account, with your name, email, address and a clear opt-out. Opting out means arbitration (clauses 55, 57 and 59) does not apply to you [WHETHER CLAUSE 58 ALSO FALLS, and whether the days count from when you are first shown Part K (lawyer, Q3)]. The rest of the Terms stays.
A claim is brought within [CLAIM LIMIT, usually 1 year] of arising, or lost, where the law allows.
[STATE, usually the company's home state] law and the Federal Arbitration Act govern; court cases go to the state or federal courts of [VENUE, usually the company's county and state].
These Terms and the Privacy Policy are the whole agreement. An invalid part leaves the rest standing; a right not used is not waived. You may not transfer these Terms; Celeem may transfer them with the business. No third party has rights. [APPLE TERMS: Apple's minimum end-user terms, with Apple a third-party beneficiary, or Apple's Standard EULA (lawyer, Q10)]
Clauses 9-10, 24-26 (for content already posted), 28, 40, 45, 46, 48-62 and Part L.
Notices in the app or by email count as in writing.
These Terms are in English and Arabic. If they differ, the English text wins.
